Upon approval from the TSX Venture Exchange and the New York Stock Exchange, the accrued interests owed to Investissement Québec for the second quarter of 2024 under the unsecured convertible note will be deemed paid.

172,048 common shares at a price of US$1.89, representing US$325,171 in total, will be issued. The maturity, conversion, or redemption of the note will see share certificates delivered.
Approval and Issuance
The issuance of these shares is pending approval from the Exchanges. Upon issuance, they will be subject to a hold period of four months and one day.
Impact on 2024 Private Placements
Regarding the private placements announced on February 15, 2024, and closed on May 1st, 2024, for Mitsui & Co., Ltd. and Pallinghurst Bond Limited, the interest on unsecured convertible notes ceased to accrue as of February 14, 2024.
